Terms and Conditions

These terms and conditions ("Terms") govern the submission of design suggestions ("Suggestions") through the design suggestion box ("Suggestion Box") on HEYCOOL ("heycool.co.uk"). By submitting a Suggestion through the Suggestion Box, you agree to be bound by these Terms.

1. Ownership of Suggestions:

a. You retain ownership of any intellectual property rights in your Suggestions.

b. By submitting a Suggestion, you grant HEYCOOL a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display the Suggestion in any medium or format, whether now known or hereafter developed, for the purpose of improving our services.

2. Compensation:

a. You acknowledge and agree that you are not entitled to any compensation, credit, or other consideration for your Suggestion, whether or not we use it.

b. We may, but are not obligated to, provide credit or compensation for selected Suggestions at our sole discretion.

3. Representations and Warranties:

a. You represent and warrant that:

i. You have the necessary rights to submit the Suggestion and grant the license described in these Terms.

ii. The Suggestion does not infringe upon the intellectual property rights or other rights of any third party.

b. You agree to indemnify and hold HEYCOOL harmless from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your breach of any representation or warranty in these Terms.

4. Confidentiality:

a. We will treat your Suggestions as confidential information to the extent required by applicable law.

b. You agree not to submit any confidential or proprietary information through the Suggestion Box.

5. Modifications:

a. We reserve the right to modify or discontinue the Suggestion Box or these Terms at any time, with or without notice.

b. Your continued use of the Suggestion Box after any modifications to these Terms constitutes acceptance of those modifications.

6. Governing Law:

These Terms shall be governed by and construed in accordance with relevant laws without regard to its conflict of law principles.
